Content collaboration agreement

[Date]

This agreement is made between:

[Brand legal name], [Brand address], represented by [Signer name] ([Title]) (the "Brand")

[Creator full name], [@handle] (the "Creator")

  1. 1. Purpose

The Creator will create and publish original content promoting the Brand's product on their social media channels, as described in this agreement.

  2. 2. Deliverables

Publication dates will be agreed in writing; an email is enough.

    • 2 TikTok videos
  3. 3. Compensation

For the deliverables above the Brand will pay US$500 in total.

  4. 4. Payment

The fee is due within 30 days of the publication of the last piece of content.

The Creator will send an invoice, or an equivalent receipt, for each payment.

  5. 5. Content approval

Before publishing, the Creator will send a draft of each piece of content to the Brand for approval. The Brand may ask for up to 1 round of changes. Approval will not be unreasonably withheld.

  6. 6. Publication and disclosure

Each piece of content will stay published for at least 90 days.

Every piece of content must be clearly marked as advertising (for example #ad and the platform's paid-partnership label), as the law and the platforms' rules require.

  7. 7. Usage rights

The Brand may repost the content on its own social channels, crediting the Creator.

Using the content in paid advertising requires a separate written agreement.

  8. 8. Termination

Either party may end this agreement in writing before the content is published. Content already published is paid in full.

  9. 9. Confidentiality

The Creator will keep the terms of this agreement, and any non-public information about the Brand, confidential.

  10. 10. Independent creator

The Creator acts as an independent professional. This agreement does not create an employment relationship.

  11. 11. Governing law and jurisdiction

This agreement is governed by the law of [State or country]. The courts of [City or county] have jurisdiction.

What's inside

What to include in an influencer contract

Every clause in the template, and why it's there.

The parties

The brand's legal name and address, who signs for it, and the creator's full legal name with their handles. A contract with “@alex” and no real name is hard to enforce.

Deliverables and dates

Exactly what gets posted: how many videos, reels, stories or carousels, on which platform, and when. Vague deliverables are the most common source of disputes.

Compensation

The fee, in which currency, and whether it covers everything or each piece. Products sent, promo-code commissions and follower discounts belong here too, so nothing agreed in DMs gets lost.

Payment terms

When the fee is due: in advance, on publication, or a number of days after publication or after the invoice. Most brands pay within 15 to 30 days of the post going live.

Content approval

Whether the creator sends a draft before posting, and how many rounds of changes you can ask for. One round keeps the content yours without killing the creator's voice.

Publication and FTC disclosure

How long each post must stay up, and that it is labeled as an ad. In the US the FTC expects a clear #ad or the platform's paid-partnership label; both the brand and the creator are on the hook if it's missing.

Usage rights

Reposting on your own channels and running the content as paid ads (Spark Ads, partnership ads, whitelisting) are different rights. Name each one and, for ads, for how many days.

Exclusivity

Whether the creator can promote direct competitors, for how long, and which category counts as a competitor. Exclusivity has a price: the longer it runs, the more creators ask for it.

Termination, confidentiality, independence

What happens if either side pulls out before the content is live, that the deal's terms stay private, and that the creator is an independent contractor, not an employee.

Governing law

Which state's or country's law applies and which courts hear a dispute. Pick the brand's home jurisdiction unless the creator asks otherwise.

FAQ

Influencer contracts, answered

Do I need a contract to work with an influencer?

For anything beyond a free product, yes. A short written agreement settles what gets posted, when it's paid, what you can do with the content and how it's disclosed. It protects the creator as much as the brand, and most creators are glad to sign one.

What should an influencer contract include?

The parties, the deliverables and dates, the fee and when it's paid, content approval, FTC disclosure, usage rights (organic reposts and paid ads), exclusivity if any, termination, confidentiality and the governing law. The template above covers all of them.

What's the difference between usage rights and paid ads rights?

Usage rights usually mean the brand may repost the content on its own channels, credited. Running it as a paid ad, through Spark Ads on TikTok, partnership ads on Instagram or whitelisting, is a separate right that creators often charge extra for, so the contract should grant it explicitly and for a set number of days.

How should influencers disclose sponsored posts?

In the US the FTC requires a clear and conspicuous disclosure: #ad or “Paid partnership” at the start of the caption or in the video, plus the platform's own branded-content label. The template makes disclosure a contract obligation.

Should I pay an influencer upfront?

Paying after the content goes live, within 15 to 30 days, is the most common setup and the safest for the brand. Established creators sometimes ask for part or all of the fee in advance; the template supports both, and adds a refund clause when you pay upfront.

Can the creator sign it online?

Yes. In Trovaso you generate the same contract from the deal you agreed in chat, the creator signs it on a link in their own language, and the signed PDF is filed on their profile in your CRM.

Is this template legal advice?

No. It's a solid, plain-English starting point used for real creator deals, but laws differ between states and countries. For large, long-term or exclusive deals, have a lawyer review it.
